Terms of Service

Version 2026-09-30 · pending counsel sign-off

These Terms of Service ("Terms") are a binding agreement between you and M&G Dynamics Corp ([to be confirmed: state of incorporation and file number]) ("M&G", "we", "us"), the company that operates MIRAÉ. MIRAÉ is a product and brand of M&G, not a separate company. The Terms cover the MIRAÉ website, web application and mobile applications, and every feature, report, plan and purchase offered through them (together, the "Service").

Please read them carefully. Section 4 explains that MIRAÉ is not a medical service. Section 13 explains how regional prices work, including that the price of a subscription follows the country of the payment method that pays for it. Sections 23 to 26 limit our liability and set out how disputes are resolved. Nothing in these Terms takes away a right that the law of the place where you live gives you as a consumer and does not allow to be waived.

1. How these Terms work

Acceptance. You accept these Terms when you create an account or when you confirm them after we change them. We record the version you accepted and when. If you do not accept them, do not use the Service.

Documents that form part of the agreement. Our Privacy Policy and Health Data Notice explain how we handle personal data, including biometric and consumer health data. The plan descriptions and prices shown at the point of purchase, and the specific choices you make in the Service (for example your analysis mode), also form part of the agreement. If these Terms conflict with a specific consent you gave, the specific consent governs for the data it covers.

Definitions. "Scan" means a guided capture of your face or body and the analysis produced from it. "Results" means the measurements, scores, estimates, benchmarks, plans, notes and other output the Service produces for you. "Your Content" means the images, video, answers, text and other material you provide. "Paid Plan" means a Studio, Atelier or other paid subscription, and "One-off Product" means a report, credit, gift code or other product bought with a single payment.

2. Who may use MIRAÉ

You must be at least 18 years old, and old enough to form a binding contract where you live. We ask for your date of birth when you create an account and keep only the year. If we learn that an account belongs to someone under 18, we will close it and delete its data.

You may use the Service only for yourself, and only if you are not prohibited from receiving it under the laws that apply to you or to us (see section 27). One account per person; an account may not be shared or transferred.

3. Your account

You agree to give accurate information and keep it current. When you sign up with an email and password, you must verify your email address before your first Scan. You may also sign in with Google or Apple; doing so does not replace your acceptance of these Terms, the Privacy Policy or any specific consent.

Keep your credentials secure and do not let anyone else use your account. Sensitive actions, such as deleting your account or changing your credentials, may ask you to confirm your identity again, and you can sign out of all devices from Settings. Tell us promptly at support@mg-dynamics.com if you believe your account has been accessed without your permission.

4. What MIRAÉ is, and what it is not

MIRAÉ is an appearance, fitness and wellness service. It measures your face and body from your camera, describes what it measured, and offers personalised guidance on appearance, cosmetic skincare, grooming, training and fitness nutrition, and tracks your progress over time.

MIRAÉ is not a medical service or a medical device. It does not diagnose, treat, cure or prevent any disease or condition; it does not provide medical, dental, dermatological, nutritional or psychological advice; and it is not a substitute for a qualified professional. Nothing in the Service creates a doctor–patient or other professional relationship. When something appears to need a professional, the Service says so, and we encourage you to follow that suggestion.

What MIRAÉ will not recommend. The Service does not make personalised recommendations of supplements, doses or intake schedules, or of medicines, hormones, SARMs, anabolic agents, weight-loss drugs or similar substances. It may provide general educational information about these topics. It may describe cosmetic or aesthetic procedures only as general information and a suggestion to see a qualified professional, never as a recommendation that you undergo one.

Look after yourself. Before starting a new training or nutrition routine, speak to a qualified professional if you have a medical condition, an injury, are pregnant or postpartum, take medication, or have been told to limit physical activity. Stop an exercise and seek advice if it causes pain, dizziness, shortness of breath or other symptoms. If measuring your appearance ever causes you distress, take a break, and consider speaking to someone you trust or a qualified professional. The Service is not for emergencies. If you may be in danger or need urgent help, contact your local emergency services.

5. How to read your Results

Results come in different kinds, and the Service labels them where it matters:

All Results are estimates that depend on capture conditions such as lighting, camera, angle, pose, clothing and expression, and on the limits of the methods used, which are described on our methodology page. Results can be wrong. They describe appearance and fitness; they are not facts about your health, worth or attractiveness. Each Result is linked to the method and version that produced it; when our methods improve, earlier Results are not silently rewritten, and a new Scan may read differently.

We do not promise any particular result, change in appearance, fitness outcome or score from following the Service's guidance.

6. Safety checks, restrictions and reviews

Before some Scans and plans, the Service asks safety questions (for example about pain, injuries, recent surgery, restrictions given by a professional, or pregnancy). Please answer them truthfully; you can answer "I am not sure", which the Service treats with caution rather than as "no". Your answers are used to keep the guidance safe for you.

Depending on your answers and your Scan, the Service may show a caution, ask you to confirm information or repeat a Scan, limit a specific feature or recommendation, or stop a specific feature where continuing would not be safe. These measures are proportionate and specific; they are not a diagnosis. Automated guidance may be more cautious than these rules but never less.

If you believe a restriction is the result of an error, you can correct your answers, repeat the Scan, or request a review. As part of a review you may choose to share the relevant Scan with MIRAÉ Support. Sharing is your choice, is limited to what the review needs and to a limited time, and every access is logged. A reviewer checks whether the Service worked correctly. A reviewer does not diagnose you, assess your fitness for any activity or give medical clearance.

7. Your choices about your data

You make separate choices, each of which you can change at any time in Settings:

You can export your data, and delete individual photos or Scans, a whole area (Facial or Physique), or your account, from Settings. Deletion is permanent. How we collect, use, share, retain and protect personal data is governed by the Privacy Policy and the Health Data Notice.

8. No identification, and no decisions about people

MIRAÉ does not perform facial recognition. It does not identify you or anyone else, verify identity, or match faces across people or sources, and you must not use it to do so.

Results are provided for your personal use only. They are not designed or offered for, and must not be used for, decisions about employment, credit, insurance, housing, education, eligibility for any service or benefit, or any other decision about you or another person made by you or by a third party.

9. Acceptable use

You agree not to:

10. Your Content

You keep all rights you have in Your Content. You grant M&G a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display Your Content only as needed to provide, secure and support the Service for you, to comply with the law, and as you separately allow (for example through Help Improve MIRAÉ). This licence ends when Your Content is deleted, except for copies that remain for a limited period in backups or that we must keep by law, as described in the Privacy Policy. We do not sell Your Content and we do not use it for advertising.

You confirm that Your Content is of you, that you have the rights needed to provide it, and that providing it does not break any law or anyone else's rights.

If you send us suggestions or feedback, we may use them without obligation to you, but we will not identify you publicly without your permission.

11. AI-assisted features

Parts of the Service, including the analysis notes, plans and the coach, are produced by automated systems, including AI models operated by our contracted processors. Automated output can be inaccurate, incomplete or unsuitable for you, and should be read in light of sections 4 and 5. Do not enter other people's personal data or information you do not want processed. The coach is not a person, is not a professional, and is not monitored in real time; it is not suitable for emergencies. You may use output generated for you for your own personal purposes; similar output may be generated for others.

12. Plans, free trials and automatic renewal

Plans. MIRAÉ offers a Free plan and Paid Plans (currently Studio and Atelier), each with the features and limits described on the pricing page at the time you subscribe. Some safeguards apply on every plan and cannot be bought away, such as scan-frequency limits designed to protect wellbeing.

Automatic renewal. Paid Plans renew automatically at the end of each billing period (monthly or yearly), and you authorise us to charge the price then applicable to your subscription (see section 13) to your payment method, until you cancel. The price, billing period and renewal date are shown before you pay and in Settings → Billing.

Free trials. Where a plan includes a free trial (currently 7 days on yearly plans), a valid payment method is required to start it. Unless you cancel before the trial ends, your subscription starts automatically and you are charged the price for the first billing period when the trial ends. You can cancel at any time during the trial in Settings → Billing and will not be charged. Free trials are limited to one per person, and we may decline a trial where one has already been used.

Founding membership. A founding membership is an Atelier yearly plan sold at a launch price that is held for the number of renewals stated at purchase. After those renewals we may apply the list price then applicable for your region, and if we do we will notify you at least 30 days before the first renewal at that price.

Upgrades and downgrades. Changes between Paid Plans take effect as shown when you make them; upgrades may be charged proportionately for the rest of the current period.

13. Prices, regional pricing and taxes

Regional prices. MIRAÉ charges different prices in different regions of the world, so that the Service is affordable where incomes are lower. Countries are grouped into price regions, and every country and territory is assigned to one.

The payment method decides the region. The price region that applies to a purchase is the region of the country where the payment method used to pay was issued — for a card, the country of the bank that issued it (including cards held in a digital wallet); for a bank debit, the country of the bank account. Before checkout we show an indicative price based on the location you appear to be in; the price shown at checkout is the price charged for that first payment.

Correction from the next billing period. If the country of the payment method paying for a subscription belongs to a different price region from the price being charged — whether at the start, after you change your payment method, or at any renewal — we will move your subscription to the price of the correct region with effect from the next billing period (or from the end of a free trial). This applies whether the correct price is higher or lower. We will not charge or refund the difference for a period already paid. Before the new price is first charged we will email you the new price and the date it applies; if you do not wish to continue at that price, you can cancel before that date and you will not be charged it.

Where a payment method does not reveal its country, or was issued in a member state of the European Union or the European Economic Area, the price shown at checkout applies and no correction is made. If you live in a country other than the one where your payment method was issued, contact us at support@mg-dynamics.com; we may, at our discretion and on reasonable evidence of residence, apply the price of your country of residence.

Misrepresentation. You must not misrepresent your location or use a payment method that is not yours in order to obtain a lower price. For a One-off Product, if we reasonably determine that it was bought at a price that does not correspond to its payment method's region, we may cancel the order and refund what you paid, or suspend any unused credits it granted. We may also refuse or cancel an order that appears to be fraudulent.

Currency and taxes. Prices are shown and charged in US dollars unless stated otherwise. Your bank may charge currency-conversion or foreign-transaction fees, which are your responsibility. Sales tax, VAT, GST or similar taxes may be added at checkout based on your location, or included in the price where the law requires prices to include tax; the amount is shown before you pay.

Price changes. We may change prices for future purchases at any time. For an existing subscription, we will give you at least 30 days' notice before a new list price applies at your next renewal, and you may cancel before it applies. A correction under this section is not a price change and is notified as described above.

14. Payments

Payments are processed by our payment processor, Stripe, under its own terms. We do not receive or store your full card number. By providing a payment method you confirm that you are authorised to use it, and you authorise us and Stripe to charge it for your purchases and renewals.

If a renewal payment fails, we and Stripe may retry it over a limited period, during which you keep access to your plan. If the payment cannot be collected, your account returns to the Free plan; your data is not deleted because of it. Some payment methods settle later than others (for example bank transfers or vouchers); a One-off Product bought with such a method is delivered once the payment has settled.

Please contact us before disputing a charge with your bank; most problems can be resolved faster directly.

15. Cancellation, refunds and your right of withdrawal

Cancelling. You can cancel a Paid Plan at any time, online, in Settings → Billing, in as few steps as it took to subscribe. Cancellation stops future renewals; you keep your Paid Plan until the end of the period you have paid for, and then your account moves to the Free plan. Deleting your account also cancels any subscription immediately.

Our refund commitment. Independently of any legal right, if you ask us at support@mg-dynamics.com within 14 days of the first payment for a Paid Plan, we will refund that payment in full; and if you ask within 14 days of buying a One-off Product whose report or credit you have not yet used, we will refund it in full. Refunds of a subscription payment end the subscription. Otherwise, payments are non-refundable except where the law requires a refund or these Terms provide for one (sections 19, 22 and 28).

Statutory rights. If you are a consumer in the European Union, the United Kingdom or another country that gives you a right to withdraw from a distance contract, you have that right as the law provides, usually within 14 days of the contract. Our refund commitment above is in addition to those rights, not instead of them.

Refunds are made to the original payment method. Purchases made through an app store are refunded by that store under its policies (section 18).

16. Gift codes and One-off Products

A gift code gives the recipient the plan and period stated on it (currently 12 months of Studio), starting when it is redeemed in Settings. Gift codes are valid until redeemed except where the law sets a different rule, cannot be exchanged for cash, and cannot be replaced if lost or disclosed to someone else, except where the law requires. Keep a gift code as you would cash.

Credits for One-off Products stay on your account until used or until your account is deleted. Reports produced with them remain available to you under the plan rules described on the pricing page.

17. Promotions and referrals

Promotional codes, discounts and referral rewards are subject to the conditions stated with them, may be limited to one per person, have no cash value, and may be withdrawn if obtained or used in breach of these Terms or their conditions.

18. Purchases through Apple or Google

If you obtain the Service or a subscription through the Apple App Store or Google Play, the purchase is processed and billed by that store under its terms, and cancellations and refunds are handled through the store. Your use of the Service remains governed by these Terms. If you use an app obtained from the Apple App Store:

19. Changes to the Service

We continually improve the Service and may add, change or remove features, methods, models and processors. If we remove or materially reduce a core feature of a Paid Plan during a period you have already paid for, we will tell you in advance where practicable, and you may cancel and receive a proportionate refund for the unused part of that period.

20. Our intellectual property

The Service, including its software, models, scoring methods, benchmarks, design, text, and the MIRAÉ name and logos, is owned by M&G or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial purposes. No other right is granted. Third-party open-source components are licensed under their own terms, listed in our third-party notices.

21. Third-party services

The Service relies on, and may link to, services operated by others, such as payment processors, sign-in providers, app stores and AI processors. We choose and contract with our processors as described in the Privacy Policy, but we are not responsible for third-party websites or services that you choose to use, which are governed by their own terms.

22. Suspension and termination

By you. You may stop using the Service and delete your account at any time in Settings.

By us. We may suspend or close your account, or restrict a feature, if you seriously or repeatedly breach these Terms, if we must do so to comply with the law or a lawful request, if your use creates a risk of harm to you, to others or to the Service, or in cases of fraud or payment abuse. Where appropriate and lawful we will tell you the reason and give you an opportunity to respond first. We may also close accounts on the Free plan that have been inactive for an extended period, after notice by email.

If we close your account for reasons other than your breach, fraud or a legal requirement, we will refund the unused part of any prepaid Paid Plan. On closure, your data is handled as described in the Privacy Policy, and you may export it beforehand where the law or circumstances allow. Sections that by their nature should survive — including 8, 10 (as to backups), 13 (as to amounts owed), 20, and 23 to 29 — survive termination.

23. Disclaimers

We provide the Service with reasonable care and skill. To the extent permitted by law, and except as expressly stated in these Terms, the Service and Results are provided "as is" and "as available", and we disclaim all other warranties, express or implied, including of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that Results will be accurate or complete, or that any particular outcome will be achieved.

Some jurisdictions do not allow the exclusion of certain warranties or give consumers statutory guarantees that cannot be excluded; in those jurisdictions, those warranties and guarantees apply to the extent the law requires.

24. Limitation of liability

To the extent permitted by law:

These limits apply whatever the legal theory of the claim, even if we were told the damage was possible. They do not limit liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or any other liability that cannot be limited or excluded by law.

If you are a consumer in the European Union or the United Kingdom, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill, and the limits above do not apply to the extent they are not permitted by the law that protects you. We are not responsible for loss that was not foreseeable or that results from your own breach of these Terms.

25. Indemnity

To the extent permitted by law, you agree to indemnify M&G against third-party claims, and related losses and reasonable costs, arising from Your Content, from your breach of these Terms, or from your misuse of the Service, including analysing another person without their consent. This section does not apply to consumers in jurisdictions where such an indemnity is not permitted.

26. Governing law and disputes

Talk to us first. Most concerns can be resolved quickly. Before starting any formal proceeding, please write to support@mg-dynamics.com describing the issue and what you are asking for, and give us 30 days to try to resolve it. This does not stop either party from seeking urgent relief to protect its rights, and does not affect any time limit the law sets.

Governing law. These Terms, and any dispute arising out of or relating to them or to the Service, are governed by the laws of [to be confirmed: governing law, e.g. the State of Delaware], without regard to its conflict-of-laws rules, and, where applicable, the federal laws of the United States. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Courts. Subject to the next paragraph, disputes will be decided exclusively by [to be confirmed: courts with jurisdiction], and both parties consent to the personal jurisdiction of those courts. Either party may instead bring an individual claim in a small-claims court with jurisdiction.

Consumers. If you are a consumer, the choice of law above does not deprive you of the protection of the mandatory provisions of the law of the country or state where you live, and you may bring proceedings in the courts of the place where you live if that law gives you that right.

27. Where MIRAÉ is offered

The Service is offered internationally, but features, payment methods and prices may vary by country, and some features may be unavailable where local law requires. You may not use the Service, or buy from us, if you are located in, or ordinarily resident in, a country or region subject to comprehensive sanctions or embargoes imposed by the United States or other applicable authorities, or if you are a person with whom we are prohibited from dealing under those laws. You must comply with applicable export-control and sanctions laws.

28. Changes to these Terms

We may update these Terms, for example to reflect changes to the Service, the law or our practices. When a change is material, we will tell you in the Service or by email at least 30 days before it takes effect, unless a shorter period is required for legal, safety or security reasons, and we will ask you to accept the new version before you continue to use the Service. If you do not accept it, you can cancel and delete your account, and we will refund the unused part of any prepaid Paid Plan. Changes that are not material (such as clarifications or corrections) take effect when published. The version and date of these Terms are shown at the top of this page, and we keep a record of the versions you accepted.

29. General

Entire agreement. These Terms, together with the documents referred to in section 1, are the entire agreement between you and M&G about the Service and replace any earlier agreement on that subject.

Severability and waiver. If any part of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the rest will remain in effect. A failure or delay to enforce a right is not a waiver of it.

Assignment. You may not transfer your rights or obligations under these Terms. We may transfer ours to an affiliate or to a successor in a merger, acquisition or sale of assets, provided your rights under these Terms are not reduced; we will tell you if this happens.

Events beyond our control. We are not responsible for failures or delays caused by events beyond our reasonable control, such as outages of third-party infrastructure, natural disasters or acts of government, and we will take reasonable steps to limit their effect.

Notices. We may send you notices by email to the address on your account or in the Service. You may send notices to us at support@mg-dynamics.com or by post to [to be confirmed: postal address for legal notices].

Language. These Terms are written in English. If we provide a translation, the English version governs to the extent permitted by the law that applies to you.

No third-party rights. Except as stated in section 18 for Apple, no one other than you and M&G has any right to enforce these Terms.
